General terms and conditions EYE FOR EYE

"In accordance with the order of December 1, 1956 modified by the laws of December 31, 1992 and January 29, 1993". Authorized retailer contract for: EYE FOR EYE and other brands distributed by EYE FOR EYE.

OFFER AND ORDER

All orders imply the buyer's full and unreserved acceptance of these terms and conditions of sale to the exclusion of any other document, condition or clause of the buyer.

Any special condition will not be valid until accepted in writing by EYE FOR EYE.

Our agents or representatives have no decision-making power. Sales they negotiate on behalf of EYE FOR EYE only become binding after acceptance by EYE FOR EYE's executive management.

PRICE

Our prices are quoted in euros, exclusive of VAT, plus postage, unless otherwise stipulated in our special terms and conditions.

PAYMENT

Our invoices are payable by cheque (cash on delivery), accepted draft or authorized direct debit, within 30 days of the end of the month. The prices of our goods are those in force on the date of the order.

Any delay in payment at the set times will automatically incur late payment penalties, in accordance with the laws of December 31, 1992 and January 29, 1993, on the total amount of the invoice, at a rate equal to 1.5 times the legal interest rate in force on the date on which payment is due.

By way of penalty clauses, failure to pay on the due date will result in the immediate payment of all outstanding sums, with the possibility for EYE FOR EYE to suspend orders in progress, and the application, by way of lump-sum damages without prior formal notice, of an indemnity equal to 15% of the unpaid sums, in addition to legal interest and any legal and collection costs.

In the event of previous collection difficulties or notorious insolvency, EYE FOR EYE reserves the right, notwithstanding the foregoing, to require the customer to pay on order or cash on delivery, without discount.

DELIVERY / CLAIMS

Whatever the mode of transport, goods travel at the buyer's risk. In the event of damage or missing packages, the claim must be made to the carrier.

Shipping times are indicative and non-binding.

Delays in delivery do not give rise to penalties or prosecution.

Receipt of a partial order cannot be refused by the buyer, provided that it exceeds 70% of the initial order.

All claims, excluding transport disputes, must be sent by registered post to EYE FOR EYE within 5 days of delivery.

In the event of a justified refusal, accepted by EYE FOR EYE's management, of one of our supplies due to material defects, latent defects, manufacturing errors, or any other valid cause, EYE FOR EYE will only be obliged to replace it outright without compensation.

RETENTION OF TITLE

The seller expressly reserves ownership of the goods delivered and designated below until full payment of their price in principal and interest.

The goods will remain the property of the seller until full payment has been received, but the buyer will become responsible for them as soon as they are physically handed over, the transfer of possession entailing the transfer of risk.

The purchaser therefore undertakes to take out an insurance policy to cover the risks of loss, theft or destruction of the designated goods as soon as this document is signed.

JURISDICTION AND APPLICABLE LAW

Any dispute directly or indirectly relating to our contractual relations with the buyer is the exclusive jurisdiction of the courts and tribunals of our head office.

Our contractual relations with the buyer are governed by French law.
